Terms and Conditions of Use

IMPORTANT LEGAL NOTICE: PLEASE READ THESE TERMS AND CONDITIONS OF USE (HEREINAFTER "TERMS") CAREFULLY AND IN THEIR ENTIRETY BEFORE ACCESSING OR USING THE WANDERER PLATFORM. BY ACCESSING OR USING THE PLATFORM IN ANY MANNER, YOU IRREVOCABLY AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL DOCUMENTS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT ACCEPT THESE TERMS IN FULL, YOU ARE NOT AUTHORISED TO ACCESS OR USE THE PLATFORM AND MUST IMMEDIATELY CEASE ALL ACCESS THERETO.
1. Nature of the Platform and Identity of the Operator
1.1 Operator and Platform Description
Wanderer (hereinafter "Wanderer," "the Company," "we," "us," or "our") is a technology undertaking operating an online directory platform accessible at www.wanderer.live (hereinafter "the Platform"), the sole function of which is to enable independent third-party event organisers (hereinafter "Hosts") to publish listings for spiritual events, experiences, gatherings, workshops, and related activities for discovery by members of the public (hereinafter "Attendees" or "Wanderers"). Wanderer functions exclusively and solely as a neutral technology intermediary providing passive hosting and directory services within the meaning of Article 6 of Regulation (EU) 2022/2065 (Digital Services Act).
1.2 Absolute Limitations on Wanderer's Role
THE FOLLOWING LIMITATIONS ON WANDERER'S ROLE ARE FUNDAMENTAL AND MATERIAL TO THE AGREEMENT BETWEEN THE PARTIES:
Wanderer is not, under any circumstances, an event organiser, co-organiser, promoter, operator, co-host, producer, or sponsor of any event listed on the Platform.
Wanderer does not endorse, recommend, verify, approve, certify, audit, or validate any event, Host, venue, substance, therapeutic modality, spiritual practice, or activity of any kind.
Wanderer does not investigate, assess, determine, or represent the lawfulness or regulatory compliance of any event in any jurisdiction whatsoever.
Wanderer has no involvement whatsoever in the planning, organisation, promotion, execution, or post-event management of any listed event.
Wanderer does not employ, engage, supervise, direct, or exercise control over Hosts or Attendees, who are at all times independent third parties.
Wanderer is not a party to any agreement, arrangement, or understanding between Hosts and Attendees, whether contractual or otherwise.
Wanderer does not manage, process, facilitate, intermediate, or otherwise participate in bookings, reservations, ticketing, or payment transactions of any kind. Any registration or attendance indicator displayed on the Platform constitutes an informational functionality only and shall not be construed as a binding booking contract or any representation by Wanderer.
Wanderer does not collect, receive, hold, process, or transmit payments on behalf of Hosts, Attendees, or any other person. Wanderer has no integration with any payment service provider, including without limitation Stripe or any equivalent service.
The relationship between Wanderer and users of the Platform is legally analogous to a classified listing or online bulletin board service within the meaning of applicable EU intermediary liability law. Wanderer merely provides passive technical infrastructure enabling Hosts to publish listings and Attendees to discover such listings. All responsibility for event content, conduct, legality, safety, payment arrangements, and contractual relations rests exclusively and non-delegably with Hosts and Attendees inter se.
2. Eligibility and Account Registration
2.1 Age Requirement and Legal Capacity
Access to and use of the Platform is strictly limited to natural persons who are at least eighteen (18) years of age or, where the law of the applicable jurisdiction prescribes a higher age of majority, such higher age. By registering for or using the Platform, each user represents and warrants, as a continuing representation throughout the duration of their use, that: (a) they satisfy the applicable age requirement; (b) they possess full legal capacity to enter into binding contractual obligations under the law of their jurisdiction; (c) their use of the Platform is not prohibited by any applicable law, regulation, court order, or governmental authority; and (d) all information provided during and after registration is and shall remain truthful, accurate, complete, and current.
2.2 Account Registration and Authentication Methods
Users may create an account on the Platform via Google Sign-In (OAuth 2.0) or by providing an email address and password. Upon registration and during onboarding, users are invited to complete a profile. The following profile fields are entirely optional and may be permanently removed by the user at any time via the Edit Profile function within account settings:

The following fields are required for full platform functionality: full legal name, city of residence, and email address. Spiritual interest preferences are collected exclusively through a dedicated, separate consent screen and may be withdrawn by the user at any time without affecting account access.

Host may view own registrants only
Attendees shall not have access to the profiles of other Attendees registered to the same event. Spiritual interest data is utilised exclusively for internal event recommendation functionality and shall under no circumstances be disclosed to any other user, Host, or third party.
2.4 Account Security Obligations
Each user is solely and exclusively responsible for maintaining the strict confidentiality of their account credentials and for all activities, transactions, and conduct occurring under their account, whether authorised or unauthorised. Users are obligated to notify Wanderer immediately upon becoming aware of any actual or suspected unauthorised access to or use of their account by contacting support@wanderer.live. Wanderer shall bear no liability for any loss or damage arising from a user's failure to comply with the account security obligations set out herein.
3. Legal Compliance — Absolute and Non-Delegable User Responsibility
THIS SECTION IMPOSES CRITICAL AND NON-DELEGABLE LEGAL OBLIGATIONS. NON-COMPLIANCE MAY EXPOSE YOU TO CRIMINAL LIABILITY, REGULATORY SANCTIONS, CIVIL CLAIMS, ACCOUNT SUSPENSION OR TERMINATION, AND FORFEITURE OF ALL FEES PAID TO WANDERER.
3.1 Host Legal Compliance Obligations
Each Host bears sole, exclusive, and entirely non-delegable responsibility for ensuring that every event listing published on the Platform, and every event conducted pursuant thereto, complies fully and continuously with all applicable laws, regulations, statutes, statutory instruments, ordinances, codes, rules, directives, and requirements of each and every relevant jurisdiction. Without prejudice to the generality of the foregoing, such obligations include:
Conducting a thorough, independent, and documented legal analysis of the lawfulness of the proposed event, its activities, and any substances or modalities involved, across all jurisdictions in which the event may be promoted or attended.
Obtaining and maintaining in full force all required permits, licences, consents, approvals, registrations, and authorisations of any governmental or regulatory authority prior to the publication of any listing and prior to the conduct of any event.
Ensuring continuous compliance with all applicable public health regulations, safety legislation, fire codes, venue occupancy restrictions, and risk management requirements.
Providing event descriptions, imagery, and promotional materials that are accurate, complete, current, and not misleading in any respect.
Processing all personal data collected from Attendees in strict compliance with Regulation (EU) 2016/679 (General Data Protection Regulation, "GDPR") and all other applicable data protection laws.
Satisfying all applicable tax obligations arising from event listings and from any economic activity conducted in connection therewith, including without limitation the collection and remittance of all applicable taxes, duties, and levies.
Complying with all applicable consumer protection laws, including applicable refund and cancellation obligations, where payments are collected from Attendees by whatever means.
3.2 Plant Medicine, Psychoactive Substances, and Variable-Legality Activities
Wanderer is an internationally accessible platform. Activities, substances, ceremonies, and experiences that may be lawfully conducted in certain jurisdictions may constitute serious criminal offences in others. Hosts and Attendees must exercise particular and heightened diligence with respect to the following categories:
Plant-based medicine ceremonies and psychoactive substances (including without limitation ayahuasca, peyote, psilocybin mushrooms, ibogaine, and analogous substances): such activities may be lawfully conducted in certain countries under applicable religious, cultural, or therapeutic use exemptions, but are classified as controlled substances and their use, possession, sale, and facilitation may constitute serious criminal offences — including offences carrying custodial sentences — under the law of many jurisdictions. THE HOST BEARS SOLE AND EXCLUSIVE RESPONSIBILITY FOR INDEPENDENTLY VERIFYING THE LAWFULNESS OF ANY SUCH ACTIVITY IN EACH AND EVERY RELEVANT JURISDICTION PRIOR TO LISTING OR CONDUCTING ANY EVENT.
Cannabis, alcoholic beverages, and other regulated or controlled substances: the legal status, permissible conditions of use, and regulatory framework governing such substances vary materially across jurisdictions.
Traditional, cultural, or spiritual ceremonies involving otherwise regulated or controlled activities.
WANDERER MAKES NO DETERMINATION, REPRESENTATION, OR WARRANTY WHATSOEVER REGARDING THE LAWFULNESS OF ANY EVENT, ACTIVITY, SUBSTANCE, OR PRACTICE IN ANY JURISDICTION. THE PRESENCE OF AN EVENT ON THE PLATFORM CONSTITUTES NO INDICATION, ENDORSEMENT, CERTIFICATION, OR CONFIRMATION OF ITS LAWFULNESS.
3.3 Attendee Independent Responsibility
Each Attendee is independently and solely responsible for: (a) conducting their own independent legal and regulatory research into the lawfulness of attending, participating in, or travelling for the purpose of any event; (b) conducting a thorough, independent assessment of the health, safety, medical suitability, and personal risk profile of any event or activity prior to participation; (c) obtaining all required visas, travel authorisations, and entry documents; and (d) fully understanding and accepting all risks — physical, psychological, legal, and financial — associated with any activity prior to participation.
4. Host Terms, Representations, and Obligations
4.1 Host Representations and Warranties
By creating any event listing on the Platform, each Host irrevocably and unconditionally represents and warrants to Wanderer and to Attendees, as a continuing representation for so long as the listing remains published, that:
The Host has conducted and documented a thorough, independent, and legally competent analysis of the lawfulness of the proposed event in each and every applicable jurisdiction.
All event descriptions, images, pricing information, and promotional materials are accurate, complete, current, and contain no misleading or materially false statements.
The Host has obtained, or will obtain prior to the conduct of the event, all required permits, licences, and authorisations from the competent authorities.
The Host shall conduct the event in a safe manner and in full compliance with all applicable health and safety legislation and regulatory requirements.
The Host is solely, exclusively, and non-delegably responsible for all tax obligations — including without limitation VAT, income tax, and any applicable levies — arising from the event listing and from any economic activity conducted in connection therewith, irrespective of the payment method utilised.
The Host shall process all personal data of Attendees — including WhatsApp numbers and Instagram handles accessed via the Platform — exclusively for the purpose of managing the specific event to which such data relates, in full compliance with GDPR and all other applicable data protection legislation. Such data shall not be used for commercial solicitation, marketing, added to mailing lists or CRM systems, or disclosed to any third party.
4.2 Event Location Data
Hosts are required to provide, at a minimum, a city-level location, which is a mandatory field for the event to appear on the Platform map. The decision as to whether to publish the complete venue address publicly in the event listing, or to share it privately only with confirmed Attendees following registration, rests entirely with the Host. For events held at private residences or non-commercial premises, Wanderer advises — on a non-binding basis — that the precise address be disclosed only to confirmed registrants. The city field constitutes the only location data required for publication of a listing.
4.3 Payments, Pricing, and Absence of Payment Intermediation
Wanderer does not collect, receive, process, hold, transfer, or facilitate payments of any kind. Wanderer does not operate as a payment service provider, payment processor, marketplace facilitator, or financial intermediary. Wanderer has no integration with any payment service, including without limitation Stripe or any equivalent platform, and Wanderer has no visibility into, control over, or responsibility for any payment transaction.
All payment transactions — whether conducted in cash, by bank transfer, or by any other means — take place entirely outside the Wanderer Platform, directly between the Host and the Attendee, without the involvement, knowledge, or participation of Wanderer in any capacity.

Wanderer expressly and irrevocably disclaims all liability for any payment dispute, non-payment, fraud, misappropriation, or financial loss of any nature arising between Hosts and Attendees. Any dispute relating to payment is an exclusively bilateral matter between the Host and the Attendee concerned.
4.4 Prohibited Event Listings
The following events and activities are strictly and absolutely prohibited on the Platform. Publication of any such listing may result in immediate removal, account termination, and referral to the competent authorities:
Events involving activities that are unlawful under the law of the jurisdiction in which the event takes place or from which Attendees are primarily drawn.
Events promoting, facilitating, or involving sexual exploitation, human trafficking, or abuse of any person.
Events involving minors in inappropriate activities, or events in respect of which adequate age-appropriate safeguarding measures are absent.
Events promoting hatred, violence, discrimination, or harassment on any basis, including race, ethnicity, religion, gender, sexual orientation, or disability.
Events involving non-consensual activities or material deception of Attendees as to the nature, content, or risks of the event.
Events designed or operated to defraud participants financially or otherwise.
Events the primary or significant purpose of which is the recruitment of participants into organisations that employ coercive, deceptive, manipulative, or psychologically abusive practices.
Wanderer reserves the right — but not the obligation — to remove any listing that it determines, in its sole and absolute discretion, violates these Terms or may expose Wanderer, its officers, employees, or users to legal risk or reputational harm.
5. Tax Obligations and Fiscal Responsibility
5.1 Exclusive Fiscal Responsibility of Hosts
Each Host is the sole and exclusive fiscal responsible party with respect to all tax obligations, fiscal liabilities, reporting duties, withholding obligations, and levies of any kind — whether national, supranational, regional, or municipal — arising from or in connection with any event listing, ticket sale, attendance fee, donation, contribution, payment collection, or any other economic activity conducted in connection with the Platform. This includes without limitation: value added tax (VAT) and equivalent consumption taxes; income tax and corporate income tax; withholding tax; social contributions; local taxes; and any other levy imposed by any governmental or regulatory authority in any applicable jurisdiction.
5.2 Absolute Exclusion of Wanderer's Fiscal Liability
WANDERER BEARS ABSOLUTELY NO RESPONSIBILITY — DIRECT, INDIRECT, VICARIOUS, JOINT, SEVERAL, OR OTHERWISE — FOR ANY TAX OBLIGATION, FISCAL LIABILITY, REPORTING DUTY, WITHHOLDING OBLIGATION, OR LEVY OF ANY KIND ARISING FROM ANY HOST'S EVENT LISTINGS, TICKET SALES, PAYMENT COLLECTION, OR ANY ECONOMIC ACTIVITY CONDUCTED IN CONNECTION WITH THE PLATFORM. THIS EXCLUSION IS ABSOLUTE AND UNCONDITIONAL.
5.3 DAC7 Inapplicability
Council Directive 2021/514/EU of 22 March 2021 ("DAC7"), amending Directive 2011/16/EU on administrative cooperation in the field of taxation, does not apply to Wanderer. Wanderer does not constitute a "reporting platform operator" within the meaning of DAC7, as Wanderer does not facilitate, collect, process, intermediate, or retain payments between users in any capacity. Wanderer is not a deemed seller, marketplace facilitator, payment intermediary, or collecting agent under DAC7 or under any national transposition thereof, nor under any other EU or national tax framework. The Platform performs no function that would engage the application of DAC7 or any analogous information reporting obligation.
5.4 Host Indemnification for Tax Claims
Each Host agrees to indemnify, defend, and hold harmless Wanderer and its officers, directors, employees, and agents from and against any and all claims, assessments, penalties, interest, fines, demands, and costs (including professional advisers' fees) asserted by any tax authority or other governmental body arising from or in connection with the Host's tax obligations, failure to file required returns, failure to remit applicable taxes, or any other fiscal non-compliance in connection with activities conducted via the Platform.
6. Acceptable Use and Prohibited Conduct
In addition to the legal compliance obligations set out elsewhere in these Terms, each user unconditionally undertakes not to:
Publish, upload, transmit, or otherwise make available any content that is false, materially misleading, defamatory, obscene, indecent, or that infringes any intellectual property right, privacy right, or other proprietary right of any third party.
Harass, threaten, stalk, intimidate, or engage in abusive conduct toward any other user or third party.
Use the Platform to transmit spam, unsolicited commercial communications, phishing communications, or malicious code.
Attempt to gain unauthorised access to any part of the Platform, its underlying systems, databases, or administrative functions.
Deploy or use automated tools, bots, scrapers, crawlers, or data extraction technologies to access, harvest, or extract data from the Platform without prior written authorisation from Wanderer.
Impersonate any natural or legal person or misrepresent your identity, credentials, qualifications, or affiliation with any person or entity.
Create multiple or duplicate accounts for the purpose of circumventing a suspension, termination, or other enforcement action.
Use contact data — including WhatsApp numbers, Instagram handles, or email addresses — of other users accessed via the Platform for commercial solicitation, unsolicited marketing, mailing list inclusion, or any purpose unrelated to the specific event for which such data was made available.
Disclose, sell, transfer, or otherwise make available to any third party the personal data of other users obtained through the Platform.
Use event listings, Host profiles, or any Platform functionality to redirect users to competing platforms or external booking, ticketing, or commercial systems that replicate or substitute the core functionality of the Platform.
Transmit bulk or unsolicited commercial communications to other users through any Platform messaging or communication function.
7. Intellectual Property Rights
All content comprising the Platform — including without limitation software, source code, object code, algorithms, design elements, logos, trade marks, service marks, database rights, and all other intellectual property — is owned by or validly licensed to Wanderer and is protected by applicable intellectual property laws, including EU and national trade mark law, copyright law, and database protection law. By uploading, submitting, or otherwise making available any content, materials, or data to the Platform, each user grants Wanderer a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully sublicensable licence to use, reproduce, adapt, modify, publish, translate, distribute, perform, and display such content solely in connection with the operation, promotion, and development of the Platform. Each user represents and warrants that they hold all necessary rights, licences, consents, and permissions required to grant the foregoing licence and that the exercise thereof by Wanderer shall not infringe any third-party rights.
8. Disclaimers of Warranties
THE PLATFORM IS PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WANDERER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING: ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, OR NON-INFRINGEMENT; ANY WARRANTY THAT THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR DEFECT; ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENCY, OR LEGALITY OF ANY CONTENT OR LISTING ON THE PLATFORM; ANY WARRANTY THAT ANY EVENT IS SAFE, LAWFUL, APPROPRIATE, OR SUITABLE FOR ANY PERSON; AND ANY WARRANTY THAT ANY HOST IS QUALIFIED, LICENSED, OR COMPETENT TO CONDUCT ANY LISTED EVENT.
WANDERER DOES NOT INVESTIGATE, VERIFY, AUDIT, OR GUARANTEE THE IDENTITY, QUALIFICATIONS, CREDENTIALS, REGULATORY COMPLIANCE, CRIMINAL RECORD, OR BACKGROUND OF ANY HOST, ATTENDEE, VENUE OPERATOR, OR OTHER THIRD PARTY. THE PRESENCE OF A LISTING ON THE PLATFORM CONSTITUTES NO REPRESENTATION OR WARRANTY BY WANDERER IN RESPECT OF ANY OF THE FOREGOING.
9. Limitation of Liability
9.1 General Exclusion of Liability
TO THE MAXIMUM EXTENT PERMITTED BY MANDATORY APPLICABLE LAW, WANDERER SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY: DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OR LOSSES; LOSS OF PROFITS, REVENUES, ANTICIPATED SAVINGS, BUSINESS, CONTRACTS, OR GOODWILL; LOSS OR CORRUPTION OF DATA OR INFORMATION; PERSONAL INJURY, PSYCHOLOGICAL HARM, DEATH, OR PROPERTY DAMAGE ARISING FROM ANY EVENT OR ACTIVITY; CRIMINAL PROSECUTION, REGULATORY INVESTIGATION, ADMINISTRATIVE SANCTION, OR OTHER LEGAL CONSEQUENCE ARISING FROM HOSTING OR ATTENDING ANY EVENT; FRAUDULENT, NEGLIGENT, RECKLESS, OR INTENTIONAL MISCONDUCT BY ANY HOST, ATTENDEE, OR OTHER THIRD PARTY; TECHNICAL FAILURES, PLATFORM OUTAGES, OR DATA LOSS; OR ANY OTHER LOSS OR DAMAGE OF ANY NATURE, HOWEVER ARISING AND WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE.
9.2 Financial Cap on Liability
To the extent that Wanderer has any residual liability that cannot be lawfully excluded by operation of mandatory applicable law, Wanderer's total aggregate liability to any user in respect of all claims arising under or in connection with these Terms or the Platform shall not exceed the greater of: (A) the total fees actually paid by that user to Wanderer in the twelve (12) calendar months immediately preceding the event giving rise to the claim; or (B) one hundred euros (EUR 100).
9.3 Exclusion of Payment-Related Liability
Given that all payment transactions occur entirely outside the Platform and Wanderer has no involvement therein, Wanderer expressly and irrevocably disclaims all liability of any nature arising from any payment transaction, payment dispute, non-payment, fraud, or financial loss occurring between Hosts and Attendees, regardless of payment method. Any such dispute is an exclusively bilateral matter between the parties concerned.
9.4 Specific Exclusion — Unlawful Events and Regulatory Consequences
Wanderer expressly and irrevocably disclaims all liability for: any claim, loss, or damage arising from events that violate the laws of any jurisdiction; harm resulting from a Host's failure to obtain required permits, licences, or regulatory authorisations; harm arising from participation in events involving substances, activities, or practices that are unlawful in any relevant jurisdiction; any physical, psychological, or health consequences, adverse reactions, injury, illness, or death resulting from participation in any event activity; and any governmental investigation, prosecution, enforcement action, or other legal proceeding directed against any Host or Attendee.
10. Indemnification
Each user (in their capacity as Host and/or Attendee) agrees, on a joint and several basis where applicable, to indemnify, defend, and hold harmless Wanderer and each of its officers, directors, shareholders, employees, agents, successors, and assigns from and against any and all claims, actions, demands, investigations, proceedings, losses, liabilities, damages, awards, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with: your use of or access to the Platform; any event you list or attend; any breach of these Terms or of any applicable law or regulation; any failure to obtain required permits, licences, or authorisations; any physical, psychological, or financial harm suffered by any person in connection with your event; any misrepresentation made by you on, through, or in connection with the Platform; any payment dispute between you and any other user; and any tax liability, fiscal obligation, or regulatory penalty arising from your activities in connection with the Platform.
11. Privacy and Data Protection
The collection, processing, storage, and disclosure of personal data by Wanderer is governed exclusively by the Wanderer Privacy Policy, accessible at www.wanderer.live/privacy, which is incorporated into these Terms by reference. By using the Platform, each user acknowledges and consents to the data processing practices described in the Privacy Policy. Each user acknowledges that Wanderer may disclose personal data where required by applicable law, enforceable court order, or lawful demand from a competent governmental authority.
Hosts who access Attendee personal data — including WhatsApp numbers and Instagram handles — through the Platform assume the status of independent data controllers within the meaning of Article 4(7) GDPR in respect of that data. Each Host is solely and exclusively responsible for ensuring that its processing of such data complies with GDPR and all other applicable data protection legislation. Wanderer acts as a separate and independent data controller in respect of its own processing activities and is not responsible for, and does not exercise any control over, Hosts' data processing activities.
12. Account Suspension and Termination
Wanderer reserves the right, exercisable in its sole and absolute discretion and without prior notice or compensation, to suspend, restrict access to, or permanently terminate any user account and all access to the Platform at any time and for any reason, including without limitation: reasonable suspicion of illegal or fraudulent activity; material or repeated breach of these Terms; misuse of Attendee contact data; complaints received from other users; and any legitimate business reason. Upon termination of an account for any reason, all licences and rights granted to the user under these Terms shall immediately and automatically terminate.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and all matters arising out of or in connection with them — including non-contractual disputes and obligations — shall be governed by and construed exclusively in accordance with the laws of the Republic of Italy and, where applicable, the law of the European Union, including without limitation Regulation (EU) 2022/2065 (Digital Services Act), Regulation (EU) 2016/679 (GDPR), and applicable Italian consumer protection legislation (Decreto Legislativo n. 206/2005 — Codice del Consumo). For users resident in the European Economic Area, mandatory consumer protection rights conferred by applicable mandatory local law are not limited or excluded by the choice of law contained in this clause.
13.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or the Platform, the parties agree to attempt to resolve such dispute amicably by contacting Wanderer at support@wanderer.live. Wanderer shall use reasonable endeavours to respond within thirty (30) calendar days. In the absence of amicable resolution within the said period, all disputes shall be submitted to the exclusive jurisdiction of the competent courts of Milan, Italy, without prejudice to Wanderer's right to seek urgent or interim relief before any competent court. Users resident in the EU may also avail themselves of the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
13.3 Limitation Period
Without prejudice to any shorter limitation period imposed by mandatory applicable law, any claim against Wanderer arising under or in connection with these Terms must be commenced within one (1) year of the date on which the cause of action first arose. Any claim not commenced within this period shall be irrevocably waived and permanently time-barred, to the full extent permitted by applicable law.
14. Amendments to These Terms
Wanderer reserves the right to amend, modify, supplement, or restate these Terms at any time at its sole discretion. In respect of material amendments, Wanderer shall provide advance notice of at least fourteen (14) calendar days by email notification to registered users and/or by conspicuous publication on the Platform, prior to the effective date of the amended Terms. Each user's continued access to or use of the Platform following the effective date of any amended Terms constitutes their irrevocable acceptance of and agreement to be bound by such amended Terms. Users who do not accept the amended Terms must immediately cease all use of and access to the Platform.
15. Miscellaneous Provisions
Severability: In the event that any provision of these Terms is held by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, such provision shall be deemed severed and modified to the minimum extent necessary to render it enforceable, and the validity and enforceability of the remaining provisions shall not be affected thereby.
Entire Agreement: These Terms, together with the Wanderer Privacy Policy and Community Standards, constitute the entire agreement between each user and Wanderer with respect to the subject matter hereof and supersede all prior agreements, representations, warranties, and understandings of any nature relating thereto.
No Waiver: No failure or delay by Wanderer in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof.
Assignment: Users may not assign, transfer, novate, or otherwise dispose of any of their rights or obligations under these Terms without the prior written consent of Wanderer. Wanderer may assign its rights and obligations hereunder freely and without restriction.
Force Majeure: Wanderer shall not be liable for any failure to perform or delay in performance of any obligation under these Terms arising from any cause beyond its reasonable control, including without limitation: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, governmental action, regulatory change, cyberattack, or failure of third-party infrastructure.
Language: These Terms are executed in the English language. Any translation provided by Wanderer is for convenience of reference only. In the event of any inconsistency or conflict between the English version and any translation, the English version shall prevail in all respects.
